1. Agreement to Terms

By accessing or using ZehaPay's services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use our services.

ZehaPay ("we", "us", or "our") provides cryptocurrency payment processing services that enable merchants ("you", "your", or "Merchant") to accept cryptocurrency payments from their customers.

2. Eligibility

To use ZehaPay services, you must:

  • Be at least 18 years of age
  • Have the legal capacity to enter into binding contracts
  • Operate a legitimate business or service
  • Comply with all applicable laws and regulations in your jurisdiction
  • Not be located in a country subject to international sanctions
  • Provide accurate and complete registration information

3. Account Registration and Security

3.1 Account Creation

You must create an account to use ZehaPay's merchant services. You agree to provide accurate, current, and complete information during registration and to update this information as necessary.

3.2 Account Security

You are responsible for:

  • Maintaining the confidentiality of your account credentials and API keys
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access or security breach
  • Enabling two-factor authentication (2FA) when available

3.3 Account Suspension

We reserve the right to suspend or terminate your account at any time for violations of these Terms, suspicious activity, fraud prevention, or legal compliance requirements.

4.ZehaPay Services

4.1 Payment Processing

ZehaPay enables merchants to accept cryptocurrency payments by providing payment processing infrastructure, blockchain monitoring, automatic exchanges, and settlement services.

4.2 Supported Cryptocurrencies

We support 70+ cryptocurrencies and networks. The availability of specific cryptocurrencies may change at our discretion. We will provide reasonable notice for any significant changes.

4.3 Service Availability

While we strive for 99.9% uptime, cryptocurrency networks and blockchain services are decentralized systems outside our control. We do not guarantee uninterrupted service and are not liable for delays caused by blockchain congestion, network issues, or third-party services.

5. Fees and Commissions

5.1 Service Fees

ZehaPay charges a commission on each successful transaction. The commission rate is displayed in your merchant dashboard and may vary based on your agreement with us. Fees are deducted automatically from incoming payments before settlement.

5.2 Network Fees

Blockchain network fees (gas fees, transaction fees) are separate from ZehaPay's commission. You can choose whether to pass these fees to your customers or absorb them yourself.

5.3 Exchange Fees

If you use our automatic exchange service to convert received cryptocurrencies, exchange provider fees and spreads apply. These fees vary by provider and market conditions.

5.4 Fee Changes

We reserve the right to modify our fee structure with 30 days' notice. Continued use of our services after fee changes constitutes acceptance of the new fees.

6. Merchant Obligations

6.1 Prohibited Activities

You may NOT use ZehaPay for:

  • Illegal goods or services
  • Money laundering or terrorist financing
  • Sale of stolen goods or counterfeit products
  • Ponzi schemes, pyramid schemes, or fraudulent investment opportunities
  • Unregistered securities or investment products
  • Weapons, explosives, or controlled substances

6.2 Compliance

You are responsible for complying with all applicable laws, including tax reporting, consumer protection, and financial regulations in your jurisdiction. You must maintain proper business licenses and registrations.

6.3 Customer Disputes

You are solely responsible for handling customer service, refunds, and disputes with your customers.ZehaPay is not a party to your transactions with customers and cannot reverse cryptocurrency transactions once confirmed on the blockchain.

7. Payment Transactions

7.1 Payment Process

When a customer initiates a payment,ZehaPay generates a unique cryptocurrency address. The customer sends cryptocurrency to this address, and we monitor the blockchain for confirmations. Payment status is updated in real-time.

7.2 Confirmations

Different cryptocurrencies require different numbers of blockchain confirmations before a payment is considered complete. This is a security measure to prevent double-spending attacks. Confirmation times vary by network and are outside our control.

7.3 Payment Expiration

Payment links expire after a set time period (typically 15-30 minutes) to protect against cryptocurrency price volatility. Expired payments cannot be completed.

7.4 Incorrect Payments

If a customer sends the wrong amount or wrong cryptocurrency, recovery may be difficult or impossible. We will make reasonable efforts to assist, but cannot guarantee recovery of incorrect payments.

8. Disclaimers and Limitation of Liability

8.1 Service "As Is"

ZehaPay services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied. We do not warrant that the service will be uninterrupted, secure, or error-free.

8.2 Cryptocurrency Risks

You acknowledge that cryptocurrencies involve inherent risks:

  • Price volatility and market fluctuations
  • Irreversible transactions (no chargebacks)
  • Blockchain network delays or failures
  • Regulatory uncertainty
  • Security vulnerabilities in cryptocurrency protocols

8.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW,ZehaPay SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION, ARISING FROM YOUR USE OF OUR SERVICES.

Our total liability for any claim shall not exceed the fees you paid to ZehaPay in the 12 months preceding the claim, or $1,000 USD, whichever is greater.

8.4 Third-Party Services

ZehaPay integrates with third-party services including blockchain networks, node providers, and exchange services. We are not responsible for failures, errors, or issues caused by these third parties.

9. Indemnification

You agree to indemnify, defend, and hold harmless ZehaPay, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including legal fees) arising from: (a) your violation of these Terms; (b) your violation of any law or regulation; (c) your violation of any third-party rights; or (d) disputes between you and your customers.

10. Intellectual Property

All content, trademarks, logos, and intellectual property associated with ZehaPay are owned by or licensed to us. You may not use our intellectual property without prior written permission, except for displaying our payment badges on your checkout pages.

11. Data and Privacy

Our collection and use of personal data is governed by our Privacy Policy. By using our services, you consent to our data practices as described in the Privacy Policy.

12. Termination

12.1 Termination by You

You may close your account at any time through your dashboard settings. You remain liable for any fees or obligations incurred before termination.

12.2 Termination by Us

We may suspend or terminate your account immediately if you violate these Terms, engage in prohibited activities, or pose a security or compliance risk. We will provide notice when possible, but may act without prior notice when necessary.

12.3 Effect of Termination

Upon termination, you must cease using our services. Pending payments will be completed, and any remaining funds will be settled to your registered wallet addresses. Sections of these Terms that by their nature should survive (including liability, indemnification, and dispute resolution) will remain in effect.

13. Dispute Resolution

13.1 Informal Resolution

13.2 Arbitration

Any disputes that cannot be resolved informally shall be resolved through binding arbitration, except where prohibited by law. Each party shall bear its own costs of arbitration.

13.3 Class Action Waiver

You agree to resolve disputes on an individual basis and waive any right to participate in class actions or class-wide arbitration, to the extent permitted by law.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of [Your Jurisdiction], without regard to its conflict of law provisions.

15. Modifications to Terms

We may modify these Terms at any time. Material changes will be communicated via email to registered merchants at least 30 days before they take effect. Your continued use of ZehaPay services after changes take effect constitutes acceptance of the modified Terms.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy and any other agreements you have with ZehaPay, constitute the entire agreement between you and ZehaPay regarding the use of our services.
